A physician PC owner holds an ownership interest in a professional medical entity and has real governance responsibilities. In an MSO–PC arrangement, ownership, clinical leadership and administrative services must be allocated under the applicable state rules. A willing physician’s signature alone does not establish a compliant structure.
State and entity requirements
Specify every state where patients receive care, the entity type, and whether this is a new practice, existing PC or proposed ownership transfer. Have healthcare counsel identify the ownership and licensing requirements.
Clinical authority
Explain how the physician will exercise independent judgment and oversee the practice. Describe decision rights, access to records and finances, escalation procedures, and who controls clinical personnel and policies.
Actual work and accountability
Separate ownership duties from any medical director, patient-care or prescribing duties. State expected hours, meetings, review obligations and the resources available to carry them out.
